Accredited Investor Attestation

I hereby attest that I am an "accredited investor" as defined in Rule 501 of Regulation D under the Securities Act of 1933, as amended. I understand that Sea Point Capital is relying on this attestation to comply with the requirements of Rule 506(c) of Regulation D, which permits public solicitation only to accredited investors.

I meet one or more of the following criteria:
• Individual with net worth exceeding $1 million (excluding primary residence)
• Individual with annual income exceeding $200,000 ($300,000 joint) in each of the past two years with expectation of same this year
• Entity with total assets exceeding $5 million
• Entity owned entirely by accredited investors
• Registered broker-dealer, bank, insurance company, or other qualifying institution
• Director, executive officer, or general partner of the issuer

I understand that I may be required to provide documentation verifying my accredited investor status, which may include tax returns, W-2s, pay stubs, bank/brokerage statements, CPA verification letters, or other financial documentation. I acknowledge that Sea Point Capital will review this information and that access to offering materials will be granted only upon successful verification.
